SET UP A FDI COMPANY IN VIET NAM

According to the Vietnamese laws of establishment of 100% foreigner Capital Company in VietNam, Trustwould like to provide our services as follows:

We will prepare and complete proper Application Dossier in both English and Vietnamese with the contents and form in conformity with the requirement of competent authorities of Vietnam for purpose of obtaining the Investment Registration Certificate including:

• Documents for establishment a 100% foreign capital company
  1. Application for the Investment Certificate (**);
  2. The Charter of the Company to be set up (**);
  3. List of the member of the Client (**);
  4. Explanation about the project to setup the company in VN (**);
  5. Financial Balance Account Confirmation of the Client (*);
  6. A copy of office leasing contract or in-principle agreement for house renting (***);
  7. Copy of passport of the person as the authorized representative of the Company (*);
  8. Power of Attorney of the Client to the Consultant (**);

Note:

• All of the documents with (*) must be legalized by the Vietnamese Foreign Affairs and Foreign Affairs of such country in accordance with the legalized procedure;
• The document market (**) shall be compiled by the Consultant and signed by the Client;
• The documents marked (***) shall be provided by the Client;

2.3       To represent the Client in submitting the Application Dossier to the competent authority;

2.4       To represent the Client in liaison with competent authorities, following up the evaluation                  process of the Application Dossier for obtaining support of competent authorities;

2.5       To inform the Client regularly about all information on evaluation process of the Application Dossier or at any time as requested by the Client;

2.6       To assist the Client in explanation, amendment or supplement to the Application Dossier                  required by competent authorities (if any);

2.7       To receive the Investment Certificate issued by the competent authorities and deliver it to the Client;

2.8       To assist the Client in registering and getting stamp and tax code for operation of the                       Company at competent authorities.
